BATAVIA ALUMNI ASSOCIATION

 BY-LAWS AND CONSTITUTION

ARTICLE I - NAME
           
The name of the organization shall be the Batavia High School Alumni Association, hereinafter referred to as the “Association.”
 

ARTICLE II - PURPOSE 
           
Section 1.         The purposes for which the association is formed are exclusively for charitable, religious, educational and scientific purposes as those terms are defined by the Ohio Non-Profit Corporation Law and the Internal Revenue Code of 1954, as amended from time to time.

            Section 2.         To provide annual scholarships to deserving graduates of the Batavia High School, Batavia Local School District, Clermont County, State of Ohio.  All funds donated for scholarship purposes shall be kept in separate accounts and used for scholarship purposes only.  All donations received with no restrictions or directions, shall be placed in the General Scholarship Fund and invested in securities selected by the Finance Committee.  Income from investments in the General Scholarship funds may be used for the reasonable and necessary expenses of the Association.  Special scholarship funds may be accepted and the wishes of the donors as to investments and preferences for scholarships will be followed if according to law and the Internal Revenue Code.

            Section 3.         To provide volunteer assistance to the students, counselors, administrators, teachers and their organizations within the Batavia school system in their endeavors in the areas of general and special education, music, art, athletics, and other extracurricular activities and programs.

            Section 4.         To purchase, lease or hire real property, buildings, services, materials and goods for the direct and indirect benefit of these named individuals, organizations and programs, and to generally promote the health, well-being, knowledge and breadth of experience of the students of Batavia Local School District and its Alumni.

            Section 5.         To perpetuate the friendships formed as undergraduates, maintaining these friendly relations through social, professional or business contacts and by having individual class meetings or class reunions, parties, dances, picnics and other social events.

ARTICLE III - MEMBERSHIP 

            The membership shall be open to all graduates of the Batavia High School, Batavia Local School District, Clermont County, Ohio and others.  The memberships may be classified as Annual and Life Memberships.  Members shall each have the responsibility of electing trustees, serving the Association as committee members, chairperson of committees and officers and trustees, and generally supporting the programs and activities of the Association. 

ARTICLE IV - DUES 

            The annual and life memberships shall be set by the Board of Trustees at their annual organizational meeting or at a special meeting called for such purpose.  Life Members shall be exempt from annual dues. 

ARTICLE V - ANNUAL MEMBERSHIP MEETING 
           
The annual membership meeting shall be held on the second Saturday of May of each year.  Election of the members of the Board of Trustees shall take place at this meeting.  Notice of the annual meeting must be published in the local newspaper a minimum of ten (10) days prior to the date set for the meeting.  The Board of Trustees may provide for such further notice as deemed advisable.

            The election shall proceed as follows.  Nominations for the offices of President, Vice President, Secretary, and Treasurer shall be received.  Votes shall be cast by members in attendance for each of these positions and those receiving a plurality of the votes cast will be declared elected.  The officers elected shall serve a term of one (1) year, or until a successor is elected. 

ARTICLE VI - BOARD OF TRUSTEES 

            The Board of Trustees shall consist of six (6) members and shall have general supervision of the affairs of the Association.  It may make general rules and regulations for the government of the Association and its members.  The only qualification for serving as a member of the Board is that the individual must be a member in good standing of the Association.  At the annual meeting in 1984, three (3) trustees shall be elected for a one (1) year term and three (3) trustees shall be elected for a two (2) year term.  Thereafter, all trustees shall be elected and serve two (2) year terms.

            The Board of Trustees shall elect a Chairperson at the organization meeting following the annual meeting each year.

            The Board of Trustees shall meet in joint session with the officers at least quarterly. 

ARTICLE VII - REMOVAL OF MEMBER OF BOARD OF TRUSTEES 

            A trustee or officer may be removed by the affirmative vote of four (4) members of the Board of Trustees if he or she is found to have missed three (3) consecutive and regularly called meetings of the Board without just cause.  In such event, the remaining members of the Board shall elect a replacement to fill such unexpired term. 

ARTICLE VIII - COMMITTEES 

            The Association shall have the following standing committees, whose members shall be appointed and serve at the pleasure of the President subject to approval of the Board of Trustees:

Finance
           
Nominating
           
Historian

           
The Board of Trustees may form and convene such other committees as it deems necessary from time to time.  The President shall have the authority to appoint members and chairmen of such committees subject to the approval of the Board. 

ARTICLE IX - AUDIT OF BOOKS 

            The books and accounts of the Association shall be audited from time to time by an individual selected by the President. 

ARTICLE X - AMENDMENT 

            These regulations may be amended by two-thirds vote of the members present and voting at any annual membership meeting.
